Terms and Conditions of Sale & Service
1. Commercial Validity and Quoting Structure
All proposals for engineering services and PCBA manufacturing remain valid for 30 days. To accommodate diverse procurement requirements, including Federal Acquisition Regulation (FAR) compliance for defense contractors, FermiTron issues proposals as either unified Turnkey Pilot Runs or strictly itemized statements of work (detailing BOM procurement, NRE/tooling, and assembly labor). Final component availability and raw material costs are subject to market conditions until an official Purchase Order is executed.
2. Payment Terms and Project Financing
Standard manufacturing engagements require 100% prepayment of all component procurement costs, custom bare-board fabrication, and line-itemized NRE/tooling fees, alongside a 50% deposit toward assembly labor prior to project execution. The remaining labor balance is due strictly Net-0 upon notice of completion and must be cleared prior to carrier dispatch. Unpaid balances past the designated term accrue late interest at 1.5% per month (18% per annum) or the maximum rate permissible under Florida law.
3. Consigned Components and Client-Supplied Substrates
For Consigned Assembly operations where the client furnishes components or bare printed circuit boards, FermiTron’s scope of responsibility is strictly confined to assembly workmanship in compliance with IPC-A-610 standards. FermiTron assumes no liability for functional defects, intermittent electrical failures, thermal breakdown, delamination, or counterfeit contamination arising from customer-supplied materials.
If your supplied reel or cut tape lacks this empty slack, standard SMT cover tape extenders must be pre-attached. Spliced or fragmented tape sections of the same component are strictly prohibited.

- High-Value Component Exception: Components exceeding $50.00 USD per unit must be explicitly flagged in the submitted BOM and are exempt from standard percentage-based tape-feed overages.
- Unused Material Return: All surplus high-value silicon and intact continuous passive reels are inventoried and returned alongside the fully assembled pilot run.
4. Order Cancellations and RMAs
Upon execution of a Purchase Order, the client assumes full financial liability for all non-cancelable/non-returnable (NCNR) components purchased on their behalf. Claims for manufacturing defects must be submitted via a formal Return Merchandise Authorization (RMA) request within 14 days of physical delivery.
5. Manufacturing Quality Standards
Bare-board fabrication is executed in strict adherence to IPC-A-600 standards, and all PCBA assembly operations follow IPC-A-610 benchmarks. Internally sourced components are procured exclusively from authorized franchised distributors to guarantee authenticity and eliminate counterfeit supply chain risks.
6. Shipping and Risk of Loss
All manufacturing shipments are designated as FOB Origin (Ex Works) from our Orlando, Florida headquarters. The risk of loss, damage, or delivery delay formally transfers to the client and their designated shipping insurance the moment assembled boards are handed over to the authorized carrier.
7. Client Data Responsibilities
Clients bear full responsibility for the accuracy of their supplied technical data, including Gerber files, ODB++, BOMs, and test vectors. FermiTron is not liable for functional defects or material losses originating from inherent errors within client-provided design files.
8. Intellectual Property Ownership
The client retains all intellectual property rights to their product schematics and custom firmware. FermiTron strictly retains full ownership of any internal manufacturing processes, custom test fixtures, and stencil tooling developed during the execution of the assembly.
9. Limitation of Liability
FermiTron’s maximum financial liability for a covered defect or manufacturing error is expressly limited to the direct cost of the affected parts or services rendered. All liability for indirect, incidental, or consequential damages is explicitly disclaimed.
10. Governing Law and Jurisdiction
All commercial engagements and disputes arising from our manufacturing services are governed exclusively by the laws of the State of Florida. Legal proceedings must be anchored in the appropriate Florida court of competent jurisdiction.
